TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the mobile

applications and related services provided by Rewardify Inc. ("Rewardify," "we," "us," or "our").

By downloading, accessing, registering for, or using a Rewardify App or related Service, you

agree to these Terms and the applicable Privacy Policy.

1. About the Rewardify Services

Rewardify provides mobile applications ("App(s)" or "Service(s)") intended for entertainment

purposes.

​

The Rewardify App may complement gaming applications operated by Rewardify or third parties

("Preset Gaming Apps"). Through the Rewardify App, eligible Users may participate in reward

programs associated with their use of participating Preset Gaming Apps and certain promotional

activities.

​

Rewardify may continuously update, modify, expand, suspend, or further develop the Apps and

Services. Accordingly, the Apps and Services are provided in the form available at the time of

use.

​

The applicable system requirements and available functionality may be described in the

applicable App Store listing and on Rewardify's website.

​

The Apps and Services are intended for personal, non-commercial entertainment use.

​

Commercial use is prohibited.

​

Questions, complaints, or claims relating to the Apps may be submitted through the in-App

communication channel or by contacting support@Rewardify.com.

​

2. Definitions

For purposes of these Terms:

​

"Account" means the User account associated with use of a Rewardify App.

"Preset Gaming Apps" means participating gaming applications operated by Rewardify or third

parties that may qualify for participation in the Rewardify reward program.

​

"Tokens" means virtual units that may be earned through qualifying activities within the

Rewardify App and participating Preset Gaming Apps.

​

"Rewards" means redeemable value credited or made available to an eligible User after

applicable Tokens or other qualifying rewards are converted or credited in accordance with

these Terms.

​

"Challenge" means an in-App activity requiring a User to complete specified objectives during

a specified Challenge Period.

​

"Challenge Rewards" means rewards awarded for successfully completing applicable

Challenges.

​

"Promotions" means sweepstakes, lotteries, spin-to-win features and other special events or

promotions offered through the Rewardify App.

​

"Virtual Items" means virtual game credits, virtual play-money coins, tokens, level jumps,

points and other virtual items offered for purchase or acquisition in an App or Preset Gaming

App.

​

3. Eligibility and Account Registration

To use the Services, you must be at least 18 years old and legally capable of entering into a

contract.

​

Rewardify may request documentation verifying age or contractual capacity.

​

An Account may be created through the applicable App Store account or, where available,

through an authorized third-party provider such as a social-network account.

​

There is no entitlement to registration or continued access to the Services. Rewardify may

refuse or cancel a registration at its discretion.

​

Accounts may not be transferred to another person without Rewardify's consent.

​

You may request access to, modification of, or deletion of Account information by contacting

support@Rewardify.com from the email address associated with your Account.

​

4. How the Rewardify Reward Program Works

The Rewardify App may allow Users to earn Tokens through qualifying activity in participating

Preset Gaming Apps and through interactions with qualifying third-party promotions or

advertisements.

​

Rewardify determines:

​

● which Preset Gaming Apps participate;

● which activities qualify for Tokens;

● the number of Tokens that may be earned;

● applicable time or content limitations;

● available reward campaigns; and

● other conditions applicable to Token earning.

These conditions may change from time to time, including without prior notice where permitted.

Users have no entitlement to any particular number of Tokens or any particular Reward.

5. Challenges

Rewardify may offer regular Challenges, including daily Challenges.

​

Each Challenge will specify the objectives that must be completed and the applicable period

during which the objectives must be completed ("Challenge Period").

​

Unless otherwise stated in the applicable Challenge:

​

• each Challenge may be completed only once per User;

• multiple Challenges may be completed in a day if available;

• Challenge Rewards are awarded only after all applicable objectives have been

• completed within the applicable Challenge Period; and

• awarded Challenge Rewards are credited to the User's general Rewards balance.

​

Challenge Rewards may vary between Users and may depend on factors including the

particular Challenge, time spent in the Rewardify App and Preset Gaming Apps, completion of

Challenge objectives, and other factors.

​

The applicable reward amount will be displayed when Tokens or other qualifying activity are

converted into redeemable Rewards.

​

6. Sweepstakes, Promotions and Special Events

Rewardify may periodically offer sweepstakes, lotteries, spin-to-win features, jackpots,

increased Rewards, and other special events or promotions ("Promotions").

​

Participation in a Promotion is subject to these Terms and any additional rules applicable to that

Promotion.

​

Unless otherwise stated in the applicable Promotion rules:

​

• Participants must be at least 18 years old;

• Rewardify may verify participant eligibility;

• potential winners may be selected by random drawing or an automated random-

• selection feature;

• winning a prize is contingent upon satisfying all applicable eligibility and verification

• requirements; and

• Rewardify's decisions concerning administration of the Promotion are final and binding to

• the extent permitted by law.

​

Employees, officers, directors, parents, affiliates, subsidiaries, representatives, consultants,

contractors, legal counsel, advertising agencies, public relations agencies, promotional

agencies, fulfillment agencies, marketing agencies, and members of their immediate families

and household members are not eligible to participate or win where excluded by the applicable

Promotion rules.

​

Potential winners will generally be notified through the App and/or by email within five (5) days.

Rewardify may require a potential winner to provide an eligibility declaration, liability release,

publicity release, or other documentation as permitted by applicable law.

​

If a potential winner fails to respond, accept the prize through PayPal or another designated

payment provider, or satisfy applicable requirements within thirty (30) days, Rewardify may

disqualify the potential winner and select an alternate winner.

​

Up to three alternate drawings may be conducted. Any remaining prize may thereafter be

forfeited.

​

A potential winner becomes an official winner only after Rewardify has completed its eligibility

verification and notified the individual that verification is complete.

​

7. Rewards and Redemption

Tokens may periodically be converted into monetary or other redeemable Rewards during

designated cash-out periods.

​

Depending on availability, Rewards may be redeemed for:

​

• gift cards;

• vouchers;

• other rewards;

• cash payments through PayPal; or

• payments through other supported payment providers.

​

Available redemption methods may vary based on the User's location and/or the amount being

redeemed.

​

Rewardify may impose restrictions on redemption where it reasonably determines that an

Account, Token, Reward, or other activity involves improper, fraudulent, abusive, or prohibited

conduct.

​

Rewardify does not guarantee profits, specific payouts, or a particular Reward amount.

To redeem available Rewards, a User must follow the applicable cash-out process within the

App.

​

Rewardify generally does not require a minimum redemption amount, but may impose a

Minimum Amount for particular redemption options or Promotions.

​

Where a Minimum Amount applies, the User may not redeem Rewards until that threshold has

been reached.

​

Welcome or Sign-Up Bonuses

Rewardify may provide welcome bonuses, sign-up bonuses, welcome credits, or sign-up credits

("Welcome Tokens").

​

Welcome Tokens are not guaranteed and may vary based on factors including geographic

location.

​

Conversion of Welcome Tokens into Rewards may depend on the User's engagement with the

App and satisfaction of applicable minimum redemption requirements.

​

The same applicable redemption conditions may apply to Welcome Tokens and resulting

Rewards as apply to regular Rewards.

​

Payment Information

Certain redemption methods may require the User to provide payment-related information, such

as an email address or payment-provider username.

​

Reward redemption requests are generally processed immediately, but may take up to five (5)

business days in certain circumstances. Payment-provider delays or extraordinary

circumstances may cause additional delays.

​

To prevent fraud, Rewardify may require a User to satisfy a minimum activity requirement

before becoming eligible to redeem Rewards.

​

Rewardify may also request additional information to verify that Tokens and Rewards have not

been fraudulently earned, exchanged, or redeemed.

​

Rewardify may place a redemption on hold while requested information is being reviewed.

Failure to provide requested information within a reasonable period may result in suspension or

blocking of the Account.

​

Fraud or material violations of these Terms may result in forfeiture of Tokens or Rewards and

may result in legal action where appropriate.

​

Expiration

Unless otherwise stated, Tokens and/or Rewards expire automatically ninety (90) days after

being credited to the User's Account if they have not been redeemed within that period.

Users are responsible for applicable taxes, fees, and expenses associated with Rewards,

Challenge Rewards, and prizes.

​

Rewards, Challenge Rewards, and prizes may not be substituted, assigned, or transferred

unless expressly permitted.

​

8. Virtual Items and In-App Purchases

Use of the Apps and participating Preset Gaming Apps is generally free.

Rewardify may introduce fees for individual features or products. Where applicable, the

applicable purchase price, duration, payment method, and other purchase information will be

disclosed separately.

​

Purchasable features may include Virtual Items.

​

Users are never required to purchase Virtual Items.

​

Virtual Items do not constitute property owned by the User. They are licensed for personal use

within the applicable App or Preset Gaming App and may not be sold or exchanged.

​

Virtual Items may only be purchased or acquired through the applicable Store, such as Google

Play or the Apple App Store.

​

The applicable Store may separately apply its own terms and conditions, payment terms, taxes,

and refund policies.

​

Once payment is successfully completed, purchased Virtual Items will generally be credited to

the applicable Account.

​

Rewardify may refuse a Virtual Item purchase or acquisition where permitted.

Virtual Items remain available until used unless removed or revoked by Rewardify in

accordance with these Terms.

​

Deleting the App or changing devices may result in the loss of unused Virtual Items.

Unless otherwise expressly provided, purchases of Virtual Items are final and non-refundable,

transferable, or exchangeable. Refund requests must be directed to the applicable Store and

are subject to that Store's policies.

​

For Users located in the European Economic Area, United Kingdom, or Switzerland, applicable

statutory withdrawal rights are described in Section 17.

​

9. User Conduct and Anti-Fraud Rules

Users must use the Services in accordance with these Terms and applicable law.

Users must keep login credentials confidential and must promptly notify Rewardify of any loss,

misuse, or suspected compromise.

​

Users must provide accurate, complete, and truthful information and promptly update

information when it changes.

​

Each User may maintain only one Account unless Rewardify expressly permits otherwise.

Users may not:

​

• operate multiple Accounts;

• use one Account to obtain benefits for another Account;

• transfer Tokens or items between their own Accounts for the purpose of obtaining

• benefits;

• use bots, macros, scripts, automated systems, or other software to control the App or

• game functions;

• systematically reproduce, analyze, or exploit App or game content;

• create excessive server load;

• provide false location information;

• engage in automated or bulk participation;

• permit third parties to participate through their Account; or

• otherwise manipulate the Services, Challenges, Promotions, Token earning, or Reward

• redemption process.

Multiple Users may not share the same email address where prohibited by the applicable App or

Promotion.

​

Rewardify may investigate suspected fraud, abuse, manipulation, or material violations and may

suspend or terminate Accounts and/or withhold or forfeit associated Tokens, Rewards, Virtual

Items, Challenge Rewards, or prizes.

​

10. Intellectual Property and License

Rewardify grants the User a non-exclusive, non-transferable, non-sublicensable license to use

the applicable App for personal, non-commercial purposes during the contractual relationship.

Except where expressly permitted by law, Users may not:

​

● reproduce or distribute the App;

● publicly perform or broadcast the App;

● make the App publicly available through a network;

● modify or edit the App;

● store the App on external data carriers; or

● decompile, disassemble, or reverse engineer the App.

​

All App content, including information, text, images, videos, databases, and other materials, is

protected by applicable intellectual-property rights and is owned or licensed by Rewardify.

App content may be used only for personal, non-commercial purposes unless Rewardify

expressly permits otherwise.

​

11. Advertising and Third-Party Services

Rewardify may display third-party products and services through promotional links, banners,

advertisements, or other formats.

​

Rewardify may also engage in cross-marketing with selected partners.

​

Rewardify is not responsible for third-party products or services displayed through the Apps.

​

12. Privacy and User Data

Rewardify collects and uses User information in connection with providing the Services and

fulfilling the contractual relationship established under these Terms.

​

Additional information regarding the collection and processing of User information is provided in

Rewardify's Privacy Policy.

​

The Privacy Policy is available through the applicable App Store listing and Rewardify's website.

13. Availability and Changes to the Services

​

Rewardify strives to provide continuous and error-free access but does not guarantee that the

Apps, games, Services, or functions will always operate without interruption or defects.

​

Users are responsible for maintaining an appropriate internet connection and meeting the

applicable hardware, software, and operating-system requirements.

​

Rewardify may restrict access where reasonably necessary to maintain network security or

integrity.

​

Rewardify is not obligated to provide updates or upgrades to accommodate changes in

hardware or software.

​

Rewardify may modify, suspend, discontinue, or change features of the Apps and Services as

permitted by applicable law.

​

14. Suspension and Termination

Unless otherwise stated for a particular App, the contractual relationship continues for an

indefinite period beginning when Rewardify activates the User's Account.

​

Either party may terminate the relationship.

​

A User may terminate by deleting the Account.

​

Rewardify may terminate the relationship upon fourteen (14) days' notice unless an immediate

or extraordinary termination is permitted under these Terms or applicable law.

​

Where Rewardify reasonably suspects misuse or a material breach, Rewardify may investigate

and may suspend or restrict access while the matter is reviewed.

​

If the suspicion is determined to be unfounded, Rewardify may restore the Account.

​

If a material breach is confirmed, Rewardify may terminate the Account and may forfeit

associated Tokens, Rewards, Virtual Items, Challenge Rewards, or other benefits to the extent

permitted by law.

​

A User whose Account has been blocked or terminated may not create or access another

Rewardify Account without Rewardify's prior consent.

​

15. Disclaimers and Limitation of Liability

Rewardify does not guarantee that the Apps or Services will be uninterrupted, error-free,

secure, or continuously available.

​

To the extent permitted by applicable law, Rewardify is not responsible for losses resulting from

circumstances outside its reasonable control, including labor disputes, force majeure events,

network failures, technical failures, or failures of third-party providers.

​

Users should maintain appropriate backups of data where necessary to prevent avoidable data

loss.

​

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Any limitation of liability otherwise applicable under these Terms shall be interpreted only to the

extent permitted by applicable law.

​

16. U.S. Terms; Governing Law and Disputes

The following provisions apply to Users located in the United States to the extent permitted by

applicable law.

​

Participation in the Apps, Preset Gaming Apps, Challenges, and Promotions is subject to

applicable technical and operational requirements.

​

Rewardify is not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible

entries or records; unavailable or interrupted networks or servers; transmission problems;

computer or software malfunctions; technical failures; or other errors outside Rewardify's

reasonable control.

​

Proof of sending information or participating does not constitute proof of receipt by Rewardify.

Rewardify's failure to enforce a provision of these Terms does not constitute a waiver of that

provision.

​

Automated, bulk, fraudulent, or third-party participation may be disqualified, and Tokens or

Rewards resulting from such activity may be nullified.

​

Where permitted by law, disputes arising from the Apps, Preset Gaming Apps, Challenges,

Promotions, Rewards, or prizes will be resolved individually and not as part of a class action.

Subject to applicable law, disputes shall be brought in the applicable state or federal courts

located in San Francisco, California.

​

The governing law provisions of these Terms shall be interpreted in accordance with California

law, without regard to conflict-of-law principles, except to the extent applicable law requires

otherwise.

​

Nothing in this Section limits rights or remedies that cannot lawfully be waived.

​

17. Regional Withdrawal Rights

This Section applies where applicable law provides a statutory right of withdrawal, including

applicable Users in the European Economic Area, United Kingdom, and Switzerland.

​

Right of Withdrawal

You may have the right to withdraw from an applicable in-app purchase contract within fourteen

(14) days without giving a reason.

You may communicate your decision by an unequivocal statement, including by email or mail.

To meet the withdrawal deadline, it is sufficient to send the withdrawal communication before

the applicable withdrawal period expires.

​

Effects of Withdrawal

Where applicable, Rewardify will reimburse payments received in accordance with applicable

law.

​

If you requested that performance begin during the withdrawal period, you may be required to

pay an amount proportionate to the services already provided before withdrawal.

​

For digital content supplied without a tangible medium, applicable withdrawal rights may expire

when performance begins following the consumer's express consent and acknowledgment of

the applicable loss of the withdrawal right.
